Terms of Service for cnDB

Welcome to cnDB! By accessing or using our mobile application and services (collectively, the "App"), you agree to be bound by these Terms of Service ("ToS"). Please read them carefully. If you do not agree to these ToS, you may not use the App.

1. Acceptance of Terms

By creating an account, accessing, or using the App, you acknowledge that you have read, understood, and agree to be bound by these ToS, our Privacy Policy, and any additional terms and conditions that are referenced herein or that may apply to specific features of the App.

We may update these ToS from time to time. We will notify you of any significant changes by posting the new ToS on this page or through in-app notifications. Your continued use of the App after such changes constitutes your acceptance of the new ToS.

2. User Accounts

To access certain features of the App, you may need to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We cannot and will not be liable for any loss or damage arising from your failure to comply with the above requirements.

Minimum Age: You must be at least 13 years old to use the App. If you are under 18, you represent that you have obtained parental or guardian consent to use the App and agree to these ToS.

3. License to Use the App

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the App for your personal, non-commercial Chinese language learning purposes. This license is subject to your compliance with these ToS.

Prohibited Activities:

  • Copy, modify, or distribute the App's content without our written permission.
  • Attempt to reverse engineer, decompile, or disassemble any part of the App.
  • Use the App for any illegal, unauthorized, or commercial purposes.
  • Interfere with or disrupt the integrity or performance of the App or its data.
  • Upload or transmit any viruses, worms, or malicious code.
  • Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
  • Upload, post, or share group content that includes violence, sexual or otherwise inappropriate material, hate symbols, or other harmful/offensive material.
  • Harass, threaten, insult, or discriminate against other users based on race, ethnicity, nationality, religion, gender, sexual orientation, disability, age, or similar protected characteristics.

4. Intellectual Property Rights

All content, features, and functionality of the App (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof), are owned by zkSoftware, its licensors, or other providers of such material and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

User-Generated Content (UGC):

You may have the opportunity to submit, post, or display content within the App, such as forum posts, pronunciation recordings, or written exercises ("UGC"). You retain ownership of any intellectual property rights that you hold in your UGC.

By submitting UGC, you grant us a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and publicly display your UGC in connection with the App and our (and our successors' and affiliates') business, including for promoting and redistributing part or all of the App (and derivative works thereof) in any media formats and through any media channels. This license continues even if you stop using the App.

We may review and remove UGC (including uploaded group content and chat content) that violates these ToS, and may restrict or terminate accounts that repeatedly or seriously violate these rules.

5. Payment Terms and Subscriptions

Certain features or content within the App may require payment, such as premium subscriptions or in-app purchases. All prices are listed in [Currency, e.g., EUR or USD] and are subject to change.

Subscription Renewal and Cancellation:

Subscriptions will automatically renew at the end of each billing period unless cancelled by you. You can manage and cancel your subscriptions through your device's app store settings ([e.g., Google Play Store or Apple App Store]). Please refer to the respective store's cancellation policy for details.

Premium Usage Limits:

Premium features are subject to monthly usage caps. Unless otherwise stated in-app, each premium account includes up to 1,000 combined translation and sentence-audio generations per month, up to 10 generated stories per month, and up to 100 quizzes per month. Usage limits may reset at the beginning of each billing month or subscription cycle. We may change these limits from time to time; any material changes will be reflected in these ToS and/or in-app notices.

Refunds:

All purchases are final and non-refundable, except as required by applicable law or as explicitly stated in our refund policy for specific cases (e.g., technical issues preventing access). If you believe you are entitled to a refund, please contact us at support@cndb.app

6. Disclaimers and Limitation of Liability

The App and all its content are provided on an "AS IS" and "AS AVAILABLE" basis, without any warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the App will be uninterrupted, error-free, secure, or that any defects will be corrected. While we strive to provide accurate and effective language learning tools, we do not guarantee that your use of the App will lead to specific language proficiency levels or exam results.

In no event shall zkSoftware, its affiliates, or their licensors, service providers, employees, agents, officers, or directors be liable for damages of any kind, under any legal theory, arising out of or in connection with your use, or inability to use, the App, including any direct, indirect, special, incidental, consequential, or punitive damages, including but not limited to, personal injury, pain and suffering, emotional distress, loss of revenue, loss of profits, loss of business or anticipated savings, loss of use, loss of goodwill, loss of data, whether caused by tort (including negligence), breach of contract, or otherwise, even if foreseeable.

7. Termination

We may terminate or suspend your account and bar access to the App immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the ToS.

If you wish to terminate your account, you may simply discontinue using the App or delete your account through the in-app settings.

Upon termination, your right to use the App will immediately cease. All provisions of the ToS which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

8. Governing Law and Dispute Resolution

These ToS and any disputes arising out of or related to your use of the App shall be governed by and construed in accordance with the laws of Germany, without regard to its conflict of law principles.

Any legal action or proceeding arising out of or related to these ToS or the App shall be exclusively brought in the courts located in Munich, Germany. You consent to the jurisdiction of and venue in such courts and waive any objection as to inconvenient forum.

9. Miscellaneous

  • Entire Agreement: These ToS, together with the Privacy Policy, constitute the entire agreement between you and zkSoftware regarding the use of the App.
  • Severability: If any provision of these ToS is held to be invalid or unenforceable, such provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions of these ToS will remain in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these ToS will not be considered a waiver of those rights.
